Business Formation & Filings

We handle the filings and internal documents that turn an idea into a properly formed Ohio company, then keep the annual obligations on a calendar so nothing lapses.

New entities and compliance

What is included

  • Name availability search with the Ohio Secretary of State
  • Articles of Organization (LLC) or Articles of Incorporation (corporation) filed online
  • Statutory agent appointment and acceptance
  • Federal EIN application with the IRS
  • Operating agreement or corporate bylaws drafted to your instructions
  • Initial member or shareholder resolutions and membership certificates
  • Ohio vendor’s licence and CAT registration guidance where applicable
  • Banking resolution pack for opening the business account

We prepare filings from your instructions. We do not advise on which entity type or tax election is best for you — that is a question for your CPA or an attorney, and we can point you to both.

Questions about business formation & filings

What are the Ohio state fees?
The Ohio Secretary of State charges $99 to file Articles of Organization for an LLC. Corporation and expedited fees differ. State fees are separate from our flat fee and are billed at cost with the receipt attached.
Does Ohio require an annual report?
Ohio does not require a general annual report for LLCs, which surprises people moving from other states. Other obligations still apply, including CAT filings above the threshold, vendor's licence renewals and professional licensing, all of which go on your compliance calendar.
Can you be my statutory agent?
Yes. We offer statutory agent service at our Columbus address for $99 per year, including scanning and same-day forwarding of any service of process.
Should I choose an LLC or an S-corporation election?
That is a tax question, and we do not answer it. We will happily file whichever structure you and your CPA decide on, and we can recommend Columbus-area CPAs.
How fast can I have a bank account?
Most clients are filed and have an EIN within two business days, which is everything a bank needs alongside the operating agreement and banking resolution we provide.
